Deal or No Deal Casino

iPro, Inc., doing business as Deal or No Deal Casino (“iPro”), offers a loyalty program (“Loyalty Program”) to eligible players who use its online casino and internet gaming products and services via a computer or mobile device (collectively, the “Site”).

These Loyalty Program Terms and Conditions (the “Terms”) describe the rules that govern iPro’s Loyalty Program and shall be subject to the terms and conditions set out in the iPro Terms of Service (the “Agreement”). By agreeing to be bound by the Agreement by registering for an account or logging into to an existing account for the Site, you are also agreeing to have read, clearly understood, and be legally bound by these Terms. All capitalized terms used in these Terms and not defined herein shall have the respective meanings assigned to them in the Agreement.

The Loyalty Program is intended to reward eligible players as set out in Section 4.1 of the Agreement. There is no fee payable to obtain membership in the Loyalty Program. Upon registration of an Account, players will automatically be enrolled in the Loyalty Program (each, a “Member”) as a Bronze Member.

The Loyalty Program has the following membership levels, which are based on the number of Reward Coins (as defined in Section 4) collected by a Member:

Notwithstanding the foregoing, Members may only become iPro Club VIP Members by invitation from iPro, which may be provided in iPro’s discretion. Each Loyalty Level has the benefits identified below:

Members will be considered VIP Members when they reach the threshold for the Diamond level or are invited to the iPro Club level.

Members can earn reward coins by betting, wagering, participating in promotions, entering tournaments or completing goals on the Site (the “Gaming Activities”) that involve the use of Unutilized Funds (i.e., real money) (“Reward Coins”). If iPro provides a Member with the opportunity to participate in time-limited Reward Coin promotions, any such promotions will be subject to these Terms and the terms and conditions applicable to that promotion.

In accordance with the table set out in Section 3, as Members engage in Gaming Activities throughout each calendar year, they may earn Reward Coins and become eligible for the next Loyalty Level. Once a Member has met the threshold for the subsequent level, a Member will be automatically enrolled in that level and will be remain enrolled in that level for the remainder of the current calendar year and for the duration of the following calendar year. If a Member does not participate in the Gaming Activities in a manner that maintains their Loyalty Level, then a Member may be demoted to a lower level of membership.

The rate at which each Member may earn Reward Coins will be calculated based on their Loyalty Level, the type of game in which the Member bets or wagers, the type of tournament entered and/or any specific promotion terms. Unless otherwise set out in the terms of an applicable tournament, promotion or goal, the following earn rates shall apply:

ALL REWARD COINS EARNED BY A MEMBER WILL EXPIRE AT THE END OF THE CALENDAR QUARTER THAT IS TWELVE (12) CALENDAR MONTHS FOLLOWING THE EARN DATE (e.g., Reward Coins earned on February 12, 2022 will expire on March 31, 2023 and Reward Coins earned on April 22, 2022 will expire June 30, 2023).

Once earned, Reward Coins properly accumulated by a Member in accordance with these Terms can be redeemed in the “Reward Store” section on the Site (the “Reward Store”). Reward Coins can be redeemed for Bonus Cash, Unutilized Funds and/or tournament entries, in accordance with the following:

To be eligible to redeem Reward Coins, a Member must have (at a minimum) the specified number of Reward Coins associated with the applicable Reward. All Rewards are subject to availability at the time of the redemption request. iPro may, in its sole discretion and without notice: (a) cease to offer any rewards; (b) change the number of Reward Coins associated with each Reward; and/or (c) substitute a similar reward of equivalent or greater value for any reason. The Released Parties (as defined in Section 9) are not responsible for, and accept no liability whatsoever in relation to, incorrect Reward Coin values displayed in relation to the redemption schedule or elsewhere.

After a Reward is redeemed by a Member, the specified number of Reward Coins will automatically be debited from the Member’s Account. Reward Coins may not be redeemed by any person other than the Member associated with the applicable Account.

From time to time, iPro may advertise or offer exclusive offers to select Members to redeem Reward Coins for items other than the rewards noted above or receive other benefits.

iPro may, from time to time, provide Members with a list of goals to complete in exchange for a predefined number of Reward Coins (each, a “Goal List”). Each goal in the Goal List may be a single action task that a Member can complete or a series of simple tasks that must all be completed. If the goal is comprised of a series of simple tasks, all tasks must be completed for the goal to be considered complete. In order to earn the Reward Coins associated with each goal, Members must complete the goal within the identified time limit.

Members may view the status of their Goal List through their Account. Each time a new goal is added to the Goal List, Members will receive a notification on the Site.

Reward Coins will automatically be tracked and allocated to each Member’s Account by iPro in accordance with its official records. Reward Coins have no value outside of the Loyalty Program and cannot under any circumstances form the basis of a monetary claim against the Released Parties (as defined in Section 9 below). Reward Coins cannot be assigned, exchanged, traded, bartered, purchased, given by gift or otherwise sold. Any Reward Coins so acquired are void. The accumulation of Reward Coins does not entitle a Member to any vested rights, and iPro does not guarantee in any way the continued availability of, any reward or any other benefit. All Reward Coins are subject to iPro’s verification at any time and for any reason. iPro reserves the right, in its sole discretion, to invalidate any Reward Coins that it deems to have been awarded in error, or as the result of any fraudulent activity, or any activity not in keeping with these Terms, the terms of any applicable promotion or the Agreement, as interpreted by iPro in its sole discretion. Any Reward Coins that cannot be verified to the complete satisfaction of iPro are subject to disqualification. Any Reward Coins accumulated through misuse of the Site, abuse or fraud (all as determined by iPro in its sole discretion) will be forfeited. All determinations regarding whether a Member is eligible to earn Reward Coins accordance with these Terms will be made by iPro in its sole discretion.

A Member’s Account will become dormant if they do not submit a wager using Unutilized Funds or otherwise log in to their Account within the previous rolling twelve (12) month period. If a Member’s account is deemed to be dormant, all accumulated Reward Coins may be terminated and forfeited, at the sole discretion of iPro.

By participating in the Loyalty Program, each Member hereby: (a) confirms their compliance with these Terms, the terms of any applicable promotion and the Agreement; (b) agrees to release iPro, its parent companies, subsidiaries, affiliates, advertising/promotion agencies and any other individuals or entities involved in the development, production, implementation, administration or fulfilment of the Loyalty Program and each of their respective shareholders, officers, directors, members, employees, agents, contractors, partners, successors, and assigns (collectively, the “Released Parties”), from any and all liability in connection with the Loyalty Program, their participation therein, and/or the failure of any Reward Coins to be captured or recorded for any reason; and (c) agrees to indemnify and hold harmless the Released Parties against any and all claims, damages, liabilities, costs, and expenses arising from their participation in the Loyalty Program, their violation of any applicable law or the rights of any third party, and/or their breach of these Terms, the terms of any applicable promotion and/or the Agreement.

The Released Parties will bear no liability whatsoever regarding: (a) a Member’s participation in any Gaming Activity or other Loyalty Program activities; and/or (b) any use, collection, storage and disclosure of any personal information. The Released Parties shall be held harmless by each Member in the event it is discovered that the Member has departed from or not otherwise fully complied with any of these Terms and/or the Agreement.

ANYONE DEEMED BY IPRO TO BE IN VIOLATION OF THESE TERMS AND/OR THE AGREEMENT FOR ANY REASON IS SUBJECT TO DISQUALIFICATION FROM THE LOYALTY PROGRAM IN THE SOLE DISCRETION OF IPRO AT ANY TIME.

iPro makes no representations or warranties of any kind, either expressed or implied, with respect to type, quality or fitness of goods or services provided through the Loyalty Program.

iPro is not responsible for: (a) any loss or misdirection of, or delay in receiving, any Member application, correspondence, redemption requests, or benefits; (b) theft or unauthorized redemption of Reward Coins; (c) any acts or omissions of third parties; or (d) any errors published in relation to the Loyalty Program, including, without limitation, any pricing or typographical errors, errors of description, and errors in the crediting or debiting of Reward Coins from a Member’s Account. iPro reserves the right to correct, without notice, any such errors.

iPro reserves the right, in its sole discretion, to cancel, withdraw, amend or suspend the Loyalty Program (or to amend these Terms as set out below) in any way, with or without prior notice or obligation, in the event of: (a) any cause beyond the reasonable control of iPro that interferes with the proper conduct of the Loyalty Program as contemplated by these Terms, including, without limitation, any error, accident, problem, computer virus, bugs, tampering, unauthorized intervention, fraud or failure of any kind whatsoever or for any other reason whatsoever. Any attempt to undermine the legitimate operation of the Loyalty Program in any way (as determined by iPro in its sole discretion) may be a violation of criminal and civil laws and should such an attempt be made, iPro reserves the right to seek remedies and damages to the fullest extent permitted by law. Without limiting the foregoing, iPro reserves the right, in its sole discretion, to adjust any of the dates, timeframes and/or other mechanics stipulated in these Terms, to the extent deemed necessary by iPro, for purposes of verifying compliance of any Members or other information with these Terms, or as a result of any technical or other problems, or in light of any other circumstances which, in the opinion of iPro, in its sole discretion, affect the proper administration of the Loyalty Program as contemplated in these Terms, or for any other reason.

iPro reserves the right, in its sole discretion subject only to applicable law, to modify all or a portion of these Terms at any time without further notice and without incurring any liability or obligation. A Member’s continued access to and/or use of the Loyalty Program after any such changes constitutes their acceptance of, and agreement to be legally bound by, these Terms, as updated. It is each Member’s sole responsibility to regularly check to determine if there have been any changes to these Terms and to review such changes.

Subject only to applicable law, a Member’s Account (and therefore ability to participate in the Loyalty Program) may be terminated at any time and without notice by iPro if the Member has been deemed by iPro, in its sole discretion, to: (a) violate these Terms and/or the Agreement; (b) provide false or fictitious information to iPro; (c) misuse or abuse (or attempt to misuse or abuse) the Loyalty Program and/or Member privileges; (d) commit (or attempt to commit) fraud; and/or (e) take any other action(s) deemed by iPro to be contrary to the Loyalty Program, these Terms, the Agreement or the interests of other Members. If a Member’s permission to participate in the Loyalty Program is terminated for any reason, including by iPro, the agreement formed by the Member’s acceptance of these Terms will continue to apply and be binding upon the Member in respect of their prior participation in the Loyalty Program and anything relating to or arising from such participation. Upon termination, all Reward Coins associated with the Member’s Account will be forfeited (subject only to applicable law). If a Member is dissatisfied with the Loyalty Program for any reason, their sole and exclusive remedy is to redeem any existing Reward Coins in accordance with these Terms and discontinue participating in the Loyalty Program.

By participating in the Loyalty Program, each Member expressly consents to iPro, its agents and/or other representatives, storing, sharing and using the personal information submitted by them for the purpose of administering the Loyalty Program and maintaining their Account, in accordance with iPro’s Privacy Policy and the Agreement. This Section does not limit any other consent(s) that an individual may provide iPro or others in relation to the collection, use and/or disclosure of their personal information.

All Members are subject to verification by iPro at any time and for any reason. iPro reserves the right, in its sole discretion, to require proof of identity and/or eligibility (in a form acceptable to iPro, including, without limitation, government issued photo identification): (a) for the purposes of verifying a Member’s eligibility to participate in the Loyalty Program; (b) for the purposes of verifying a Member’s compliance with applicable laws or regulatory requirements; and/or (c) for any other reason iPro deems necessary, in its sole discretion, for the purposes of administering the Loyalty Program in accordance with these Terms. Failure to provide such proof to the complete satisfaction of iPro within the timeline specified by iPro (without limiting any of iPro’s other rights that may apply under the Agreement) may result in disqualification from the Loyalty Program, in the sole discretion of iPro. Notwithstanding the foregoing, iPro reserves the right to deny participation in the Loyalty Program at any time in its sole discretion.

Members are solely responsible for supplying and maintaining all equipment, technology and services that may be required to access and participate in the Loyalty Program. The performance or operation of the Loyalty Program may be affected by a Member’s computer equipment, mobile device, internet connection and/or other factors that are outside of iPro’s control. The Released Parties are not responsible for, and accept no liability whatsoever in relation to: (a) any late, misdirected, incomplete or incompatible information (all of which are void); (b) any failure of the Site or any other any website or platform; (c) any technical malfunction or other problems of any nature whatsoever, including, without limitation, those relating to the telephone network or lines, computer on-line systems, servers, access providers, computer equipment or software; (d) the failure of any information to be received, captured or recorded for any reason whatsoever, including, but not limited to, technical problems or traffic congestion on the internet or at any website; (e) any injury or damage to a Member’s or any other person’s computer or other device related to or resulting from participating in the Loyalty Program; and/or (f) any combination of the above.

By participating in the Loyalty Program, each Member hereby agrees to accept all decisions regarding any interpretation of these Terms by iPro. The decisions of iPro with respect to all aspects of the Loyalty Program are final and binding on all Members without right of appeal. The sole determinant of time for the purposes of the Loyalty Program will be the official time-keeping device(s) used by iPro. iPro’s records, as maintained on iPro’s server(s), will be the final authority in determining the circumstances of any participation in the Loyalty Program and the results of such participation. In the event of a disagreement between the result that appears on any Member’s screen and the relevant iPro server, the result that appears on the iPro server will prevail.

To the fullest extent permitted by law, any dispute or situation not covered by these Terms shall be resolved by iPro in a manner that is fair to all parties at iPro’s sole discretion. Notwithstanding the foregoing and to the fullest extent permitted by law, all issues and questions concerning the construction, validity, interpretation and enforceability of these Terms or the rights and obligations of Members, iPro or any of the other the Released Parties in connection with the Loyalty Program will be governed by and construed in accordance with the laws of the Province of Ontario and the laws of Canada applicable therein, without giving effect to any choice of law or conflict of law rules or provisions that would cause the application of any other jurisdiction’s laws. As applicable, the parties hereby consent to the exclusive jurisdiction and venue of the courts located in Ontario in any action to enforce (or otherwise relating to) these Terms or relating to the Loyalty Program.

In the event of any discrepancy or inconsistency between the terms and conditions of these Terms and disclosures or other statements contained in any other materials, including, but not limited to, the Site, online advertising, and/or any instructions or interpretations of these Terms given by any representative of iPro, the terms and conditions of these Terms shall prevail, govern and control to the fullest extent permitted by law.

The invalidity or unenforceability of any provision of these Terms shall not affect the validity or enforceability of any other provision. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these Terms shall otherwise remain in effect and shall be construed in accordance with the terms as if the invalid or illegal provision were not contained herein.

Any waiver by any Released Party of the strict observance, performance or compliance by a Member with any of the Terms contained herein, either expressly granted or by course of conduct, shall be effective only in the specific instance and shall not be deemed to be a waiver of any rights or remedies of iPro as a result of any other failure to observe, perform or comply with these Terms. No delay or omission by any Released Party in exercising any right or remedy hereunder shall operate as waiver thereof or of any other right or remedy.
